You must be at least 18 years old and have the authority to agree to these Terms on behalf of yourself or your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Fees, billing cycles, and payment terms are specified at the time of order or in a separate agreement. You authorize us to charge the payment method on file for recurring fees until you cancel in accordance with these Terms or your order. You are responsible for applicable taxes. Late payments may incur interest or suspension of Services.
We may offer trials or beta features. Such features are provided "as is" without warranties and may be discontinued at any time. Usage may be subject to additional terms presented at activation.
You retain ownership of your content and data. You grant Elevate Quick a worldwide, non-exclusive license to host, process, transmit, and display your content solely as necessary to provide the Services and improve their functionality. You represent that you have all necessary rights to your content and that it does not violate any law or third-party rights.
Each party may disclose confidential information to the other. The receiving party will use reasonable care to protect such information and will use it only for purposes related to the Services. These obligations do not apply to information that is public, independently developed, or rightfully obtained from third parties without restriction.
We and our licensors retain all rights, title, and interest in and to the Services, including software, documentation, designs, and know-how. Except for the limited rights expressly granted, no rights are transferred to you by implication or otherwise.
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation to you.
Program Description: By opting into Elevate Quick SMS Alerts, you agree to receive text messages regarding appointment confirmations, reminders, special promotions, and discounts for services offered by Elevate Quick. These messages are designed to keep you informed and help you save on our solutions. You can cancel the SMS service at any time. Simply text “STOP” to the shortcode. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you. If you experience issues with the messaging program, reply with the keyword “HELP” for more assistance, or reach out directly to support@elevatequick.com or call 877-766-1577. Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ELEVATE QUICK, LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You will defend, indemnify, and hold harmless Elevate Quick, LLC and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.
These Terms remain in effect while you use the Services. We may suspend or terminate your access for breach, fraud, or risks to security or integrity. Upon termination, your right to access the Services ends, but certain provisions (including payment obligations, confidentiality, IP, disclaimers, limitations of liability, and indemnification) survive.
These Terms are governed by the laws of the State of Ohio, without regard to conflict of laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Cuyahoga County, Ohio for all disputes not subject to arbitration (if a separate agreement requires arbitration, that agreement controls).
We may modify these Terms from time to time. Changes become effective upon posting. If we make material changes, we may provide additional notice. Your continued use after the effective date constitutes acceptance of the changes.
